LEGAL SERVICES WE CAN PROVIDE YOUR WEB COMPANY
Internet Law

_________________________________________________________________________________________________________________________________________

(1) Secure a domain name that doesn't infringe on someone else's trademark. ($299 Per Name: Includes Web Search and Report)

Why buy a domain name or a group of domain names if all you are going to accomplish is infringing on someone else's trademark?

Then they sue you and you call and attorney and you have just wasted a lot of time and money trying to figure out what you just did

Have an attorney perform research into the domain and let you know whether it is advisable to purchase the domain or not.

For example, if you spend $15 buying Nike.TV (assuming that was available) do you think Nike is going to find out about it?

And when they do, don't you think they are going to send you a "cease and desist" letter?

Of course they are.  They are going to protect their brand and their trademarks.

So don't just jump in there and buy the name because it's available

If you have a serious business purpose for obtaining Nike.TV, then pay the low $299.00 fee and research it first

Because once you buy a domain name, you will want to invest in that domain name by (a) Building a website for it

(b) turning the domain into a blog or web portal, and (c) you will want to start marketing your domain.

Why would you go to the trouble to do all this if the domain name you plan to use infringes on another companies trademark rights?

Do what the big companies do - investigate whether you have a good name you can use from the get-go.

You can afford $299 so just go for it.

_________________________________________________________________________________________________________________________________________

(2) If you get a domain name "cease and desist" letter (basically because you didn't do what I just described above) fax it to us at (949) 209-0358.  We will look at the letter and the claims contained in it and let you know whether they are merely harassing you (in which case you may want to stand up for your domain rights and fight them) or whether you are likely to be an infringer of their domain and trademarks.  I charge a low $40 to review these letters and provide you with a written opinion.

So the second thing I can do for you is handling your domain name disputes.  Yes I take credit cards

_________________________________________________________________________________________________________________________________________

(3) We can send you our CALIFORNIA ATTORNEYS GUIDE TO LEGAL INTERNET MARKETING pdf.

For the price of a DOZEN DONUTS and a STARBUCKS COFFEE ($6.99) I will send you a pdf article that covers just about everything a California internet owner

would need to know to ethically and legally market your domains and internet business on the web without having to worry about running into the State Attorney

General, Federal Trade Commission (FTC), Federal Communications Commission (FCC), and most importantly

to avoid getting a "nasty-gram" from a private attorney representing an ISP or some other entity that is claiming an injury due to your

illegal or unethical online web marketing practices.

Now wouldn't seven bucks be worth avoiding all that?

_________________________________________________________________________________________________________________________________________

(4) I can help you transfer, sell or buy a domain name with a third party (Domain Mergers & Acquisitions)

If someone has made an offer to buy your domain name for $500 or more, or you are buying

Someone else's domain for $500 or more

You may want to use the services of an Internet Attorney to make sure all the legal

"niceties" are attended to.  For example, what if someone wants to sell you AmazingTalent.TV for $5,000

Then, after you shake hands and sign a contract you found on the internet

The seller changes his mind and now wants to sell it to another party for $25,000

Obviously, you want your domain name that he agreed to sell and he wants you to get lost

What do you do?

Have a Business &  Internet Law Firm like The Law Offices of Steven C. Vondran draft the contract and enforce the contract if the Seller

Is looking to leave you for a better deal.  If you are the seller in this scenario, you should also use an Internet and Domain M & A law firm to

help you properly documents your the sale of your digital property

We draft purchase and sale contracts, transfer agreements, licensing agreements for $350 per agreement

If we have to enforce these types of agreements through litigation or arbitration we charge our low hourly

(5)  We can manage your NDA (Non-disclosure campaign)

Our Fee: $45 for each NDA we customize and send out on your behalf.

When you are just starting your company you have a killer idea right?

You don't want to tell everyone about your idea, but you have to hire a web-designer, hosting company, marketing company, credit-card company

and the like.  So do you (a) just start blabbing and telling everyone how great your idea is?

Or do you (b) tell the person you are dealing with "okay, your service sounds great, before I can do into this in further detail, I need to have my lawyer send

you a NDA (non-disclosure agreement) that you can sign and send back to him so that we can take this to the next level.

If you said "B" you have a serious future in eCommerce and eBusiness.  If you said "A" I will likely hear from you as an unhappy camper.

The thing to realize about NDA's is, they are no fun to customize, send out, and manage if someone tries to take advantage of you.

Let an Internet law firm like The Law Offices of Steven C. Vondran take the hassle out of drafting these agreements and sending them out, etc.

You have better things to do than deal with internet contracts of NDA's.  Plus, I doubt you would cover yourself

properly if all you do is try to find a NDA on the internet and cut and paste it.  There's a reason lawyers go to law school for four years.

Put them to work for you in these critical areas, especially where the price is as low as it is.   This is smart business

and money well-spent.

_________________________________________________________________________________________________________________________________________

(5) We can draft and review your mission-critical documents with (a) Internet Service Providers (b) hosting companies (c) credit card companies (d) web designers, (e) third party software providers and others

These service providers will become your "partners" (from a provider standpoint) and you will rely on these companies in the day-to-day

running of your business.  The first thing I have to tell you is this:

ALL CONTRACTS ARE NOT CREATED EQUAL!

You need to fully understand what type of company you are dealing with.  Normally you have lots of choices in deciding whether to use

this company or that company

The terms and conditions you find in the contracts drafted and issued by these partner companies will vary greatly

and can either set the foundation for a great relationship, or a disastrous one

The Law Offices of Steven C. Vondran will review these agreements and recommend changes and additional clauses that protect you

I have never seen even one contract that did not require changes.

Why?  Because the drafter of the contract (them) did everything they could to protect themselves

and in the process neglected to look at the deal through your eyes.

As we lawyers often say in Contracts law:

The BIG print GIVETH, while the SMALL print TAKETH AWAY!

Fortune 500 businesses review just about every agreement and contract

and you can bet they all have changes, and edits that better protect their clients.

The big companies normally use in-house lawyers.  For the low price of $199 per agreement, you can have

your own Internet attorney looking out for your interests.

_________________________________________________________________________________________________________________________________________

(6) What about dealing with your "partners" we help you choose the right business entity for your business whether that be a corporation, LLC, or partnership (Incorporation package is $599 for Corporations and LLC's, and $699 for Partnership Agreements).  California State Filing fees are separate, but manageable

Before you jump in head-first into your internet ventures make sure you have considered whether you want to run your business as a sole proprietor or

whether it makes more sense to file for a corporation, LLC or partnership.  A California law firm that practices in the area of eBusiness and Internet law firm like The Law Offices of Steven C. Vondran

can help you answer these important questions which could have a dramatic impact on you from a tax, liability, and corporate governance standpoint

We help you weigh the options, and get your company formed, usually with just a few days.

We will also provide you with a corporate kit

and as a Client of our firm, we will provide you with access to other low-cost flat rate fee services that help you properly

run and manage your company (for example, we help you conduct your required shareholder meetings that so many small companies fail to hold as required by law)

Failing to properly adhere to required Corporate law standards could result in personal liability if a person or company sued you and they

"PIERCE THE CORPORATE VEIL"

Another major area to be concerned with is the area of partnership law.  Partnerships can be oral or written.  The fact that they can be oral

presents all kinds of problems.  If you start doing business with a friend and split some of the profits and share some of the costs

you could find yourself in a "partnership" even though you never contemplated that.

If there is ever a fall-out between you and the others who have helped you run the business, they could sue you claiming

they are a partner in the business entitled to this or that as part of settlement.

Don't let this happen to you, it is very frustrating if it does, I promise.

Choose an entity that's right for you and document your understanding and agreements

through articles of incorporation, bylaws, operating agreements, shareholder agreements and the like

Contact Us for details.  More Information can be found at our CaliforniaCompany.Biz website.

(7) Handling, Managing, and Dealing with Employees: It all sounds so simple, dealing with our friends, and employees and running a business.  Don't let your guard down.  There are probably few things that run more risks than the area of employment law.  We can do the following on your behalf:

(a) Draft employee agreements ($299)

(b) Draft Independent Contractor agreements ($299 - don't know the difference between employee and independent contractor?  Call us)

(c) Draft employee manuals (these manuals let employees know what their rights, duties and responsibilities are and what company procedures, standards, rules, and guidelines are.  Don't take it for granted - SPELL IT OUT in a well-documented manual so there is absolutely no CONFUSION about pay, holidays, vacations, personal days, sick days, internet usage, trade secret policy, etc.).  Protect yourself before you wreck yourself!  ($299)

(d) "Exit" Agreements  ($99)

_________________________________________________________________________________________________________________________________________

(8) Trade Secret Programs (protect your companies "crown jewels" through a trade secret protection program).  We will help you identify what a trade secret is, and help you take steps to protect it

Your trade secrets are your lifeblood.  You need to know what is protectable and what is not.  Contact us for a confidential discussion.

In most cases, we can create a top-notch trade secret protection program for $999.

_________________________________________________________________________________________________________________________________________

(9) We can help you protect your copyright works, monitor the web for infringement, and send cease and desist letters on your behalf and sue the perpetrator(s) if necessary

Copyright, in general, is any creative work fixed in a tangible medium of expression

This would include items such as photos, web design, articles you create, website content such as web videos, podcasts, etc.

Copyright law is designed to protect the hard work the designer had to do to create the work in the first place.

Your lazy competitors would rather avoid the work and just copy and paste your work.  We won't let them do that.

We can monitor the web for you and send cease and desist letters that threaten to file a lawsuit if they don't comply.

Your copyrighted works are your company assets. You need to take them very serious.

_________________________________________________________________________________________________________________________________________

(10) We can scour the web to protect your brand and corporate reputation from defamers, tarnishers, infringers and ill-doers, and send the appropriate cease and desist letters and sue the perpetrator(s) if necessary

More information can be found on our DigitalDefamation.com (Internet Defamation law) website brought to you by The Law Offices of Steven C. Vondran.

_________________________________________________________________________________________________________________________________________

(11) We can serve as your outsourced Chief Privacy Officer

All California eBusiness' must have a privacy policy and must follow it.

You must disclose what information you collect, how you use it, how you share it and what measures you take to protect the privacy and security of their personal information.

This is very serious business.

We can help you draft a privacy policy that accurately conveys the practices of your business and sets the benchmark for your compliance activities in the Privacy area.  There are many factors to consider and other requirements that apply.

We can also serve as your "point-person" for customer complaints (i.e. you can tell them "Call our Privacy Law Firm") and we can follow up with the complaining party and take appropriate action

Contact us to discuss.

_________________________________________________________________________________________________________________________________________

  (12) If your company is in serious need of help to stop the ruthless, unethical, injurious, or illegal acts of a vendor, partner, competitor, etc, we are prepared to go to battle for you in either arbitration (if the contract calls for it) or else full-blown litigation.  Contact us for a free confidential discussion about your Business Problem or Digital Dispute.
